Florida annual report on Sunbiz

Quick answer. Florida corporations and LLCs file an annual report with the Division of Corporations each year to stay active. For 2026, profit corporations, LLCs, and limited partnerships have until 11:59 p.m. Eastern on May 1 before a $400 late fee. Missing the report through the third Friday of September leads to administrative dissolution or revocation.

Steps

  1. Find the document number first

The e-file screen asks for the document number. If the notice is gone, run a Sunbiz search by name and copy the number from the detail page. The Division’s help line for annual reports and reinstatements is 850-245-6059.

  2. File even if nothing changed

The Division’s instructions say the report updates or confirms the public record. It is not a financial statement, and it is required whether or not you are changing officers or the address. An entity that has closed should dissolve or withdraw instead of filing another report.

  3. Pay the fee that matches the entity type

On the fee table checked October 12, 2026: profit corporation $150, nonprofit $61.25, LLC $138.75, limited partnership or LLLP $500. Card payments are processed by the Division’s payment vendor. Checks go with the voucher the system prints and must be postmarked by May 1 to avoid the late fee.

  4. Use the report to correct the public record

The report can add or change officers, directors, managers, or authorized members, change the registered agent and registered office, change principal and mailing addresses, and add a federal employer identification number. It cannot change the entity’s name. A name change is an amendment.

  5. Know the two clocks

After May 1, the Division adds a $400 late fee for profit corporations, LLCs, limited partnerships, and LLLPs. Nonprofits are not charged that late fee. If no report is filed by the third Friday in September, the entity is administratively dissolved or revoked at the close of business on the fourth Friday of September. Reinstatement requires the reinstatement fee plus the unpaid reports.

What “sunbiz annual report filing” posts to the public site

Anything you type on the report becomes public on Sunbiz. The Division says a card payment posts immediately and a check is posted in the order received. After it posts, the image can be downloaded from the detail page without a fee.

An amended annual report, if you already filed this year, is listed at $61.25 for a profit or nonprofit corporation and $50 for an LLC. Limited partnerships use a mailed amendment form instead.

Reinstatement is not the same form

An administratively dissolved entity does not “catch up” by filing only the current report. The Division requires a reinstatement application and the fees associated with the missed years. The fee schedule is the source for the reinstatement amount. Search the name on Sunbiz after the filing posts before you tell a bank or a buyer that the company is active again.

Common mistakes

  • Mailing a check without the voucher, then assuming the May 1 postmark is obvious to the Division.
  • Changing the legal name inside the annual report. The form will not do that.
  • Ignoring a nonprofit’s report because there is no $400 late fee. Nonprofits can still be dissolved for a missed report.

Questions

What is the sunbiz annual report fee for an LLC?

The Division lists $138.75 for a limited liability company annual report. A $400 late fee is added if it is filed after May 1. Confirm both numbers on the Division’s annual-report page before paying.

Can I file an annual report sunbiz if I forgot the document number?

Yes. Search the entity by name on Sunbiz and read the document number on the detail page, or use the number printed on the Division’s notice.

Does the annual report replace a registered-agent filing?

The annual report can change the registered agent and the registered office. Outside that filing, an agent change is its own document. Both end up on the Sunbiz detail page once processed.
